Acceptance of Terms
By accessing or using Softative's website and services, you agree to be bound by these Terms and Conditions. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any of our services. These terms apply to all visitors, users, and others who access or use our services.
Services Description
Softative provides website development, MVP development, custom software solutions, CRM automation with GoHighLevel, SEO services, and related digital solutions. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.
Project Agreements & Payments
All projects are governed by a separate project agreement or statement of work signed between Softative and the client. Payment terms, milestones, and deliverables will be outlined in that agreement. Invoices are due as per the agreed payment schedule. Late payments may result in pausing of work until outstanding balances are cleared.
Intellectual Property
Upon full payment of all fees, clients receive ownership of the custom deliverables created specifically for their project. Softative retains ownership of all pre-existing tools, frameworks, libraries, and methodologies used in delivering the project. We reserve the right to display completed work in our portfolio unless explicitly agreed otherwise in writing.
Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information required for project delivery. Delays caused by late content, feedback, or approvals from the client may affect timelines and costs. Clients must ensure they have the legal rights to any materials (logos, images, text, etc.) provided to Softative for use in their project.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. Softative will not disclose your business information, project details, or any trade secrets to third parties without your written consent, except where required by law.
Limitation of Liability
Softative shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with our services. Our total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
Warranty Disclaimer
Our services are provided on an 'as is' and 'as available' basis. Softative makes no warranties, expressed or implied, regarding the merchantability, fitness for a particular purpose, or non-infringement of our services. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.
Termination
Either party may terminate a project engagement with written notice as specified in the project agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date. Softative reserves the right to terminate services immediately if a client violates these terms or engages in unlawful or abusive behavior.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with applicable laws. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction. Both parties agree to attempt to resolve disputes amicably before pursuing legal action.
Changes to Terms
Softative reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services after any changes constitutes your acceptance of the new terms. We encourage you to review these terms periodically.
